The Site and all content on the Site, including text, graphics, logos, images, photographs, product names, and the "Numi" and "Shedless" brand marks, are the property of Numi or its licensors and are protected by U.S. and international intellectual property laws. The Site may contain links to third-party websites or services that are not owned or controlled by Numi. Disclaimer of Warranties; Limitation of Liability
The Services and all products and information provided through them are provided "as is" and "as available" for your use, without any representation or warranty of any kind, express or implied, including without limitation all implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement. In no case shall Numi, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind arising from your use of the Services or any products procured using the Service, to the maximum extent permitted by law.
Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless Numi and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from any claim or demand, including reasonable attorneys' fees, made by any third-party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.
Severability
If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms. Such determination shall not affect the validity and enforceability of any other remaining provisions.
Termination
These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by notifying us that you no longer wish to use the Services or when you cease using the Site. We may terminate these Terms at any time without notice if, in our sole judgment, you fail to comply with any term or provision of these Terms, and you will remain liable for all amounts due up to and including the date of termination.
Dispute Resolution; Informal Resolution First
If you have a dispute with us, you agree to first contact us at hello@thenumi.co and give us a good-faith opportunity to resolve it informally. Most concerns can be resolved this way. You agree to attempt informal resolution for at least 30 days before initiating arbitration or any other proceeding.
Binding Arbitration; Class Action Waiver
Please read this section carefully — it affects your legal rights, including your right to file a lawsuit in court.
Except for disputes that qualify for small claims court and except for claims for injunctive relief relating to intellectual property, any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in Texas or, at your election, by phone, video, or written submission. Judgment on the award may be entered in any court of competent jurisdiction.
Class action waiver. You and Numi agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class proceeding.
Your right to opt out. You may opt out of this arbitration agreement and class action waiver by emailing hello@thenumi.co with the subject line "Arbitration Opt-Out" within 30 days of your first purchase or first acceptance of these Terms, whichever is earlier. Opting out will not affect any other part of these Terms.
If this Binding Arbitration section is found unenforceable, the remainder of these Terms shall remain in effect and any dispute shall be resolved in the courts identified below.
Governing Law
These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles. To the extent any dispute is not subject to arbitration, it shall be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.
Changes to These Terms
We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms by posting updates and changes to the Site. It is your responsibility to check our Site periodically for changes. Your continued use of or access to the Site or the Service following the posting of any changes to these Terms constitutes acceptance of those changes.
